Hangouts for Business — Last updated: July 18, 2026

These Business Terms of Service (“Business Terms”) constitute a legally binding agreement between the business entity registering for an account (“Business,” “you,” or “your”) and Hangouts (“Company,” “we,” “us,” or Our”) governing your access to and use of the advertising, promotional, and merchant services provided through the Hangouts platform (collectively, the “Business Services”). By registering a business account, creating an advertisement, or participating in our merchant programs, you acknowledge that you have read, understood, and agree to be bound by these Business Terms. If you do not agree, you may not access or use the Business Services.

1. Eligibility and Account Registration

To register for a business account and utilize the Business Services, you represent and warrant that:

  • You are an authorized representative of the business entity with the legal authority to bind said entity to these Business Terms.
  • The business is validly existing and authorized to operate in the jurisdictions where it conducts business.
  • All information provided during registration—including business name, email, contact details, physical address, and website URL—is accurate, current, and truthful.

You are solely responsible for maintaining the confidentiality of your business account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or breach of security.

2. Business Pages and Advertising Services

The Business Services allow you to create promotional content, including business profile pages, advertisements, photos, descriptions, offers, and links to your website (collectively, “Business Content”).

  • Ad Delivery: You grant Hangouts the right to host, display, and serve your Business Content to users of the Hangouts consumer application.
  • Location-Based Targeting: You acknowledge and agree that Hangouts uses the location data of consumer users to suggest, target, and display your Business Content to users who are near your physical location or who express interest in your geographic area.
  • Content Responsibility: You are solely responsible for ensuring that your Business Content is accurate, non-misleading, and complies with all applicable consumer protection, truth-in-advertising, and local laws.

3. Promotional Rights and Marketing Partner Status

By registering a business profile on Hangouts, you grant us a worldwide, royalty-free, non-exclusive license to use your business name, trademarks, logos, and publicly uploaded images for promotional purposes.

  • Hangouts may feature your business on our official social media channels, marketing materials, and within the Hangouts application to highlight your establishment as a partner or featured location.
  • You may publicly state that you are a partner of Hangouts, provided such statements do not imply that Hangouts endorses, sponsors, or guarantees your specific products or services.

4. Trial Periods and Transition to Paid Services

From time to time, Hangouts may offer promotional free trial periods for new business accounts or new advertising features (“Trial Period”).

  • Right to Suspend: Hangouts reserves the right, at its sole discretion, to modify, reduce, or terminate any free advertising or Trial Period at any time without prior notice.
  • Transition to Paid Advertising: Upon the expiration, modification, or termination of a Trial Period, or when a specific advertising service becomes a paid feature, Hangouts reserves the right to suspend your free advertising slots.
  • Subscription and Sign-Up: Following the suspension or conclusion of a Trial Period, the Business may opt to sign up for paid advertising packages, subscriptions, or pay-per-click tiers under our forthcoming commercial rate structures to resume or scale promotional visibility. You are under no obligation to buy paid ads, but free promotional placements are not guaranteed indefinitely.

5. Hangouts Points and Rewards Program

Hangouts features a user loyalty program where consumer users earn "Hangouts Points" by attending events or checking into physical locations. Businesses may voluntarily opt into the Hangouts Points Program as participating merchants.

  • Merchant Opt-In: Participation is optional. By opting into the program, you agree to accept Hangouts Points from users in exchange for specific rewards, discounts, products, or services that you authorize and define (“Merchant Rewards”).
  • Reward Management: You are entirely responsible for defining the terms, expiration dates, availability, and redemption criteria of your Merchant Rewards. You must honor authorized rewards presented by users in accordance with your published redemption terms.
  • No Company Liability: Hangouts does not guarantee that participating in the program will increase customer traffic. Hangouts is not responsible or liable for any disputes arising between your business and a consumer user regarding the value, quality, fulfillment, or denial of a Merchant Reward.
  • Withdrawal: You may opt out of the Hangouts Points Program at any time through your business account dashboard, provided that you honor any valid rewards already redeemed or claimed by users prior to your withdrawal.

6. Prohibited Content and Conduct

You agree not to upload Business Content or engage in conduct that:

  • Violates any local, state, national, or international law or regulation.
  • Promotes illegal activities, fraudulent schemes, or contains deceptive or predatory practices.
  • Infringes upon the intellectual property, privacy, or publicity rights of any third party.
  • Contains sexually explicit, profane, hateful, defamatory, or harassing material.
  • Directs users to malicious websites, phishing schemes, or unverified software downloads.

Hangouts reserves the absolute right to remove any Business Content, suspend ad delivery, or terminate a business account immediately if these standards are violated.

7. Intellectual Property Rights

Except for the limited licenses granted herein, Hangouts and its licensors retain all right, title, and interest in and to the Service, including its proprietary ad-delivery algorithms, software, interface, and branding.

You retain ownership of the pre-existing trademarks and imagery you upload. You represent that you own or possess the necessary licenses for all media and text submitted to the platform.

8. Limitation of Liability and Disclaimers

THE BUSINESS SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. HANGOUTS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. HANGOUTS DOES NOT GUARANTEE THAT ADVERTISEMENTS WILL RESULT IN INCREASED SALES, CUSTOMER FOOT TRAFFIC, OR REVENUE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL HANGOUTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, OR DATA, ARISING OUT OF OR IN CONNECTION WITH THESE BUSINESS TERMS. HANGOUTS' TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY THE BUSINESS TO HANGOUTS IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR FIFTY DOLLARS ($50), WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify, defend, and hold harmless Hangouts, its officers, directors, employees, and agents from and against any third-party claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your Business Content or advertisements; (b) your breach of these Business Terms; (c) any products, services, or rewards offered or sold by your business to consumers; or (d) your violation of any third-party rights or applicable laws.

10. Suspension and Termination

We reserve the right to suspend or terminate your business account and access to the Business Services at our sole discretion, without notice, for conduct that we believe violates these Business Terms, harms users, or compromises the integrity of our platform. Upon termination, all rights and licenses granted to the Business will immediately cease, and your business page will be removed from the platform.

11. Governing Law and Dispute Resolution

These Business Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Business Terms shall first be attempted to be resolved through good-faith negotiations. If unresolved, it shall be submitted to binding commercial arbitration under the rules of the American Arbitration Association, held in Los Angeles County, California. You agree to waive any right to participate in a class-action lawsuit or class-wide arbitration.

12. Modifications to Terms

Hangouts reserves the right to modify or update these Business Terms at any time. The “Last Updated” date at the top of this document will reflect the latest revision. Material changes will be communicated via your registered business email or through the business platform dashboard. Continued use of the Business Services after such changes are posted constitutes your binding acceptance of the updated terms.

By registering your business profile and using the Business Services, you acknowledge that you have read, understood, and agree to be bound by these Business Terms of Service.
